Terms and Conditions for Podify

**Acceptance of Terms**
The Service is offered subject to acceptance without modification of all the terms and conditions contained herein and all other operating rules, policies, and procedures that may be published from time to time by Podify. By accessing or using any part of the Service, you agree to become bound by the terms and conditions of this agreement.

Podify reserves the right to refuse service to anyone for any reason at any time. Your use of the Service is at your sole risk.

**Rules and Conduct**
By using Podify, you agree that the Service is intended solely for your personal use in converting articles, PDFs, research papers, and other documents into audio files, which are sent directly to your WhatsApp. You also agree that you can ask Podify questions about the content, and it will provide clear explanations.

As a condition of use, you promise not to use the Service for any purpose that is unlawful or prohibited by these Terms and Conditions. By way of example, and not as a limitation, you agree not to:

Violate Laws or Regulations: Use the Service for any illegal purpose or in violation of any local, state, national, or international law.

Infringe on Intellectual Property Rights: Upload or transmit any content that infringes upon any intellectual property or other proprietary rights of any party.

Harass or Harm: Upload or transmit any material that is harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, or invasive of another's privacy.

Distribute Malicious Software: Upload or transmit viruses, worms, or any other destructive code.

Interfere with the Service: Attempt to disrupt or interfere with the Service, servers, or networks connected to the Service.

Unauthorized Access: Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks connected to the Service.

Automated Use: Use any automated means, including robots, spiders, or data mining techniques, to access the Service.

**Modification of Terms**
Podify reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Service following the posting of any changes to this Agreement constitutes acceptance of those changes.

**Intellectual Property**
All content, trademarks, service marks, logos, and trade names are proprietary to Podify or other respective owners. You are granted a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms.

**Licensing Terms**
Subject to your compliance with this Agreement:

Use of Service: You are granted a non-exclusive, limited, non-transferable, non-sublicensable license to access and use the Service for personal use.

Ownership of Content: You retain ownership of any content you submit (e.g., URLs, PDFs) and the audio files generated from your content.

License to Podify: By submitting content, you grant Podify a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and process your content solely for the purpose of providing the Service.

**Fees and Payments**
Free Plan: Podify offers a free plan where you can generate up to 5 audio files.

Premium Subscription: For unlimited audio generations, we offer a premium subscription at $3.99 per month.

Automatic Renewal: The subscription will automatically renew on a monthly basis unless canceled.

Cancellation: You can cancel your subscription at any time through the website. Upon cancellation, you will not receive a refund for the current billing period, but you will retain access to premium features until the end of that period.

Price Changes: Podify reserves the right to change its pricing at any time. Price changes will apply to subsequent billing cycles after notice has been provided.

**Refund Policy**
You may cancel your subscription at any time with no commitments. However, we do not offer refunds since we incur costs for processing and service usage. We recommend making full use of your subscription before deciding to cancel.

**Termination**
Podify may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

**Indemnification**
You agree to defend, indemnify, and hold harmless Podify and its affiliates, and their employees, contractors, agents, officers, and directors, from all liabilities, claims, and expenses, including reasonable attorneys' fees, that arise from your use or misuse of the Service or your violation of these Terms.

**Limitation of Liability**
IN NO EVENT SHALL PODIFY, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;

ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;

ANY CONTENT OBTAINED FROM THE SERVICE; AND

UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages.

**Disclaimer**
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND.

Podify does not warrant that:

The Service will function uninterrupted, secure, or available at any particular time or location.

Any errors or defects will be corrected.

The Service is free of viruses or other harmful components.

The results of using the Service will meet your requirements.

**Age Requirements**
By using the Service, you represent and warrant that you are at least 18 years old or the age of majority in your jurisdiction. If you are under 18 or the legal age of majority, you may not use the Service.

**Miscellaneous**
Governing Law: These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
